Job Description

Direct Counsel is seeking a Midlevel Corporate Associate to join a premier law firm.

The firm’s Southern California offices are looking for a midlevel corporate associate with experience in emerging companies and venture capital transactions. The preferred location for this position is Century City, but candidates in other Southern California offices and Portland may be considered.

Key Responsibilities:

• Advise emerging companies and venture capital investors on corporate and transactional matters, from formation to exit.
• Draft and negotiate venture capital financing documents, including term sheets, convertible notes, and NVCA financing documents.
• Provide legal guidance on corporate governance matters, including board and shareholder issues.
• Support clients in mergers and acquisitions, joint ventures, and other strategic transactions.
• Conduct due diligence and assist in transactional closings.
• Serve as outside corporate counsel to early-stage and late-stage private companies.
• Manage internal and external client and counsel relationships.

Qualifications:

• Juris Doctor (J.D.) from an accredited law school.
• Admission to the California Bar.
• 4-6 years of experience at a reputable law firm or in-house legal department.
• Strong background in corporate law, with significant experience in emerging companies and venture capital transactions.
• Excellent drafting, negotiation, and communication skills.
• Entrepreneurial mindset and ability to work independently and collaboratively in a fast-paced environment.
• Strong academic credentials.

This position will only be filled in California. In accordance with the California Pay Transparency Law, the salary range for this position in California is $310,000 - $390,000 per year. Actual compensation will depend on the candidate’s qualifications and experience.
